Terms of Service
Effective May 19, 2026
1. Acceptance of terms
These Terms of Service (“Terms”) are an agreement between you and Spoke (“Spoke”, “we”, “us”) governing your access to and use of the Spoke voice memo transcription service (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. The Service
Spoke lets you upload audio files, have them transcribed by AI, organise the resulting transcripts, generate AI summaries, and export them as text or Word documents. We may add, change, or remove features at any time.
3. Eligibility and accounts
- You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Service.
- You are responsible for safeguarding your account credentials and for any activity that occurs under your account.
- You must provide accurate registration information and keep it up to date.
4. Acceptable use
You agree not to:
- Upload audio you do not have the legal right to record, share, or transcribe (for example, recordings of others without required consent).
- Upload content that is illegal, defamatory, harassing, discriminatory, or that infringes anyone's intellectual property or privacy rights.
- Use the Service to generate or distribute malware or to attempt to interfere with our systems.
- Resell, repackage, or rebrand the Service without our written permission.
- Circumvent any usage limits, rate limits, or access controls.
We may suspend or terminate accounts that violate these rules.
5. Plans, billing, and refunds
- The Service offers a free plan with usage limits and paid plans with higher (or unlimited) limits. Current pricing and limits are shown on the pricing page.
- Paid plans are billed in advance on a monthly or annual basis and automatically renew until cancelled.
- You can cancel at any time from the billing page. Cancellation takes effect at the end of the current billing period; we do not refund partial periods.
- Taxes and currency conversions, where applicable, are your responsibility.
[PLACEHOLDER: confirm refund / pro-ration policy with your billing provider. Update this section if it differs.]
6. Your content; license to operate the Service
You retain all rights to the audio, transcripts, summaries, and other content you upload or create with the Service (“Your Content”). You grant Spoke a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and display Your Content solely to operate, provide, and improve the Service — including by sending it to the AI sub-processors listed in our Privacy Policy.
We do not use Your Content to train our own AI models.
7. Transcription accuracy
Transcripts and summaries are generated by machine-learning models and may contain errors, omissions, or hallucinations. The Service is not a substitute for professional human transcription in legal, medical, or other high-stakes contexts. You are responsible for reviewing transcripts before relying on them.
8. Suspension and termination
We may suspend or terminate your access to the Service at any time if you violate these Terms or if we are required to do so by law. You may stop using the Service and delete your account at any time from the account settings page.
9. Disclaimers
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, Spoke and its officers, employees, and suppliers will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of data, profits, or revenue, arising out of or related to your use of the Service. Our aggregate liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose.
11. Governing law and disputes
These Terms are governed by the laws of [PLACEHOLDER: jurisdiction, e.g. England and Wales], without regard to its conflict-of-laws principles. Disputes will be resolved in the courts located there, unless a different mechanism is required by mandatory local law.
12. Changes to these Terms
We may revise these Terms from time to time. If a revision is material, we will notify you before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
